By accessing or using the Newmeris platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including individuals, organizations, and entities that access the platform.

2. Description of Service

Newmeris is an operational planning platform designed to help nonprofits and businesses manage budgets, staffing, grants, strategic planning, and reporting. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access or security breach.
• One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the platform for competitive intelligence against Newmeris
• Resell or sublicense access to the Service without written consent
• Engage in any activity that disrupts or interferes with the Service

5. Subscription and Payment

Access to Newmeris requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed monthly or annually depending on your selected plan.
• All payments are processed securely through Stripe.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Refunds are evaluated on a case-by-case basis and are not guaranteed.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Intellectual Property

All content, features, and functionality of the Newmeris platform — including but not limited to software, design, text, graphics, and logos — are owned by Newmeris / ATSAH Consulting and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of all data and content you upload to the platform. By using the Service, you grant us a limited license to process and store your data solely to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Newmeris, you consent to the collection and use of information as described in our Privacy Policy.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Newmeris does not provide legal, financial, or compliance advice. Any planning outputs are for informational purposes only.

9. Limitation of Liability

To the fullest extent permitted by law, Newmeris and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business interruption, arising out of your use of or inability to use the Service — even if we have been advised of the possibility of such damages.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or conduct we deem harmful to other users or the platform. You may cancel your account at any time from your account settings. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or use of the Service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and notify active users of material changes via email. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
